By accessing and using the services provided by NovaConsultant AS ("Company", "we", "our", or "us"), you ("Client", "you", or "your") agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you may not use our services.
NovaConsultant provides restaurant review management strategy services, including but not limited to review monitoring, response management, reputation enhancement, and related consulting services. Our services are designed to help restaurants improve their online presence and customer relationships.
As a client of NovaConsultant, you agree to:
Payment terms will be specified in your service agreement. Generally, fees are payable monthly in advance unless otherwise agreed. Late payments may result in suspension of services and additional charges. All fees are exclusive of applicable taxes, which are your responsibility.
All content, materials, and intellectual property provided by NovaConsultant, including but not limited to strategies, reports, templates, and methodologies, remain the exclusive property of NovaConsultant. You are granted a limited, non-exclusive licence to use these materials solely for the purpose of implementing our recommendations for your restaurant.
Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of our service relationship. This includes business strategies, customer data, financial information, and any other sensitive business information.
While we strive to provide continuous service availability, we do not guarantee uninterrupted access to our services. We reserve the right to perform maintenance, updates, and improvements that may temporarily affect service availability.
NovaConsultant's liability for any claims arising from our services shall be limited to the amount of fees paid by you for the specific service period in question. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, or business opportunities.
Our services are provided "as is" without any warranties, express or implied. We do not guarantee specific results from our review management strategies, as outcomes depend on various factors beyond our control, including market conditions, competition, and customer behaviour.
Either party may terminate the service agreement with 30 days' written notice. We reserve the right to terminate services immediately if you breach these terms or engage in fraudulent activities. Upon termination, you remain responsible for all fees incurred up to the termination date.
We are committed to protecting your personal data in accordance with applicable data protection laws, including GDPR. Please refer to our Privacy Policy for detailed information about how we collect, use, and protect your data.
These Terms of Service shall be governed by and construed in accordance with the laws of Denmark. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the Danish courts, with venue in Kolding, Denmark.
Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, government actions, or technical failures of third-party platforms.
We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting on our website. Your continued use of our services after any modifications constitutes acceptance of the updated terms.
If any provision of these Terms of Service is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the original intent.
